Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MoatMind innovation intelligence platform ("MoatMind", "we", "us", or "our"). By creating an account or using any part of the service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using MoatMind, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and are not prohibited from doing so under any applicable law. If you are using MoatMind on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

MoatMind is an AI-powered innovation intelligence platform that monitors emerging technologies, evaluates disruption threats, and delivers investment-grade briefs and analysis to subscribers. The service includes intelligence briefs, Moatken tokens, domain monitoring, and related features as described on the platform.

3. Account Registration

To access MoatMind you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date. You are solely responsible for all activity that occurs under your account, including any unauthorised access. Notify us immediately at contact@moatmind.ai if you suspect unauthorised use.

4. Acceptable Use

You agree not to:

• Use MoatMind for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorised access to any part of the platform, accounts, or systems.
• Reverse engineer, decompile, or disassemble any component of the service.
• Use automated tools, bots, or scrapers to extract data from the platform without prior written consent.
• Redistribute, sell, sublicense, or commercially exploit intelligence briefs generated by MoatMind to third parties for resale.
• Use MoatMind content in a way that implies official endorsement by MoatMind without prior written approval.

5. Subscription and Billing

MoatMind is available on a subscription basis. Subscription plans, pricing, and billing cycles are as described on the platform at the time of purchase. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' notice prior to the next billing cycle.

6. Moatken Tokens

Moatkens ("Moatkens" or "tokens") are digital tokens available for purchase within MoatMind. Moatkens are purchased in packs and can be redeemed to unlock premium content and features.

• Moatkens are non-refundable digital goods. Once purchased, they cannot be returned, exchanged, or refunded.
• Moatkens have no cash value and are not transferable, assignable, or exchangeable for money or monetary value.
• Moatkens expire if your account is closed or your subscription is cancelled.
• We reserve the right to modify or discontinue Moatkens at any time with reasonable notice.

7. Intellectual Property

MoatMind content and branding: The MoatMind platform, its design, trademarks, logos, and all content generated by MoatMind (other than user-generated content) are the intellectual property of MoatMind or its licensors. You may not use MoatMind branding, logos, or marks without prior written consent.

Intelligence briefs: Intelligence briefs generated through your subscription are provided for your personal or internal business use. You may share briefs internally within your organisation. Commercial redistribution or republication of briefs without prior written consent is prohibited.

Your content: You retain ownership of any content you submit to MoatMind. By submitting content you grant us a non-exclusive, worldwide, royalty-free licence to use, store, and process it as necessary to provide and improve the service.

8. Account Termination

We may suspend or terminate your account immediately, without prior notice, if you materially breach these Terms, engage in prohibited conduct, or if we reasonably believe your use of the service poses a security risk or legal liability. You may cancel your subscription at any time via your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by applicable law.

9. Service Availability

MoatMind aims for high availability but does not guarantee uninterrupted access. Planned maintenance windows will be communicated where possible. We may modify, suspend, or discontinue the service (or any part of it) at any time with reasonable notice, or immediately in case of security concerns or legal requirements. We are not liable for any service interruptions beyond our reasonable control.

10. Disclaimer of Warranties

MoatMind is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, accurate, or uninterrupted. Intelligence briefs and analysis provided by MoatMind are for informational purposes only and do not constitute financial, legal, or investment advice.

11. Limitation of Liability

To the fullest extent permitted by applicable law, MoatMind and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of (or inability to use) the service, even if we have been advised of the possibility of such damages.

Our total aggregate liability in connection with these Terms shall not exceed the greater of (a) the total amount paid by you to MoatMind in the 12 months preceding the claim and (b) £100.

12. Indemnification

You agree to indemnify, defend, and hold harmless MoatMind and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your use of the service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on the platform prior to the changes taking effect. Your continued use of MoatMind after the effective date of any revised Terms constitutes acceptance of those changes.

All intelligence briefs and analysis produced by MoatMind are generated using artificial intelligence. While we strive for accuracy and rigour, AI-generated content may contain errors, omissions, or outdated information. You should not treat any MoatMind output as financial, legal, or investment advice, and you bear sole responsibility for any decisions made based on MoatMind content.
